Mobile End User License Agreement (EULA)

This End User License Agreement (“EULA” or “Agreement”) is a legal contract between you (“You” or “User”) and Jano Life Inc. (“JanoLife,” “we,” “our,” or “us”). It covers how you download, install, access, and use the Jano Life mobile app. This includes any updates, upgrades, and related docs (together, the “App”).

By downloading, installing, or using the App, You agree that You have read, understood, and accept this EULA. If You do not agree to these terms, do not download, install, or use the App.

Your use of the App is also subject to our general Terms of Service (https://petal.today/policies/terms-of-service) and our Privacy Policy (https://petal.today/policies/privacy-policy), which are incorporated herein by reference.

1. Who Can Use This App?

You confirm that You are at least eighteen (18) years old. The App and the Jano Petal are not for anyone under 18. If You are under 18, You may not use the App.

2. What Are Your Rights to Use the App?

If You follow this EULA, JanoLife grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license. You can use this license to download, install, and use one copy of the App. You can use it on a single mobile device You own or control. You can use it only for your personal, non-commercial use with the Jano Petal.

3. What Are You Not Allowed to Do?

You agree not to, and You will not permit others to:

  • License, sell, rent, lease, share, distribute, host, outsource, disclose, or in any way make money from the App.

  • Copy, change, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the App.

  • Remove, change, or hide any copyright or trademark notice. This covers notices from JanoLife, our affiliates, partners, suppliers, or the licensors of the App.

  • Use the App for any unlawful purpose or in any manner inconsistent with this EULA.

  • Use the App for commercial clinical trials, CRO studies, or health system operations without JanoLife’s written OK.

  • Use the App for any "High Risk Use" where a failure could lead to death or serious injury. This covers life support, implanted medical devices, or 911 response.

4. MEDICAL DISCLAIMER

THE APP AND THE JANO PETAL DEVICE ARE NOT MEDICAL DEVICES. DO NOT USE THIS APP FOR EMERGENCY MEDICAL NEEDS.

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY.

IF YOU ARE THINKING ABOUT SUICIDE OR IF YOU ARE CONSIDERING TAKING ACTIONS THAT MAY CAUSE HARM TO YOU OR TO OTHERS OR IF YOU FEEL THAT YOU OR ANY OTHER PERSON MAY BE IN ANY DANGER, CALL THE NATIONAL SUICIDE PREVENTION LIFELINE AT 988.

The App is for fitness and wellness tracking. It gathers raw metrics like ECG data and bioelectrical impedance analysis (BIA). It also creates derived metrics like resting heart rate. The App and its insights are only for general wellness and info. They are not meant to diagnose, treat, cure, or prevent any disease or illness.

The App is not for continuous monitoring and is not an alarm system. It does not auto-alert doctors or patients to serious heart or blood vessel issues. Always talk to a qualified doctor before you change your diet, exercise, or meds. Do the same if you have concerns about your health.

5. How Do We Handle Your Privacy?

When you use the App, we collect and process sensitive personal data, including biometric data. We will get your clear consent in the App before we use this data. To learn how we collect, use, and protect your data, please read our Privacy Policy (https://petal.today/policies/privacy-policy).

6. What Terms Apply to App Stores?

Apple Inc. ("Apple") and Google LLC ("Google") require these terms. They apply if You downloaded the App from the Apple App Store or Google Play Store (each, an "App Store").

  • Acknowledgement: You and JanoLife agree that this EULA is only between You and JanoLife, not Apple or Google. JanoLife, not Apple or Google, is solely responsible for the App and its content.
  • Scope of License: Your license for the App is a non-transferable license. You can use the App on any Apple or Android device You own or control. You must also follow the Usage Rules in each App Store Terms of Service.

  • Maintenance and Support: JanoLife is solely responsible for App maintenance and support. You agree that Apple and Google have no duty to provide App maintenance or support.

  • Warranty: JanoLife is solely responsible for any product warranties, whether stated or implied by law, unless we validly disclaim them. If the App fails to meet a warranty, You can notify Apple or Google. They will refund the purchase price of the App (if any). As allowed by law, Apple and Google have no other warranty duty for the App.

  • Product Claims: You and JanoLife agree that JanoLife, not Apple or Google, must handle any claim by a User or third party about the App. This includes claims about your use of the App. It covers (i) product liability claims; (ii) any claim that the App does not meet a legal or regulatory rule; and (iii) claims under consumer protection, privacy, or similar laws.

  • Intellectual Property Rights: You and JanoLife agree that if a third party claims the App or your use of it infringes their IP rights, JanoLife, not Apple or Google, will handle it. JanoLife will investigate, defend, settle, and discharge any such claim.

  • Third-Party Beneficiary: You and JanoLife agree that Apple, Google, and their subsidiaries are third-party beneficiaries of this EULA. When You accept this EULA, Apple and Google gain the right (and are deemed to accept the right) to enforce it against You as a third-party beneficiary.

7. Can You Use Unauthorized Products?

JanoLife does not endorse or warrant the App when used with any unauthorized third-party device, accessory, or software. Do not try to pair the App with unapproved hardware. Do not use the App on a device with a changed or unauthorized operating system (like a "jailbroken" or "rooted" device). JanoLife is not liable for any bug, data loss, inaccuracy, or damage caused by using the App with unauthorized third-party products.

8. What Happens to Your Feedback?

If You give JanoLife any comments, bug reports, feedback, or suggested changes to the App ("Feedback"), JanoLife can use it at our discretion. You grant JanoLife a perpetual, irrevocable, non-exclusive, worldwide, fully-paid, sub-licensable, assignable license. We can use this license to include, publish, copy, distribute, change, and show your Feedback for any purpose. We do not owe You credit or payment.

9. Does the App Use Open Source Software?

The App may use or include third-party software covered by open source or third-party license terms ("Open Source Software"). You agree that your right to use Open Source Software in the App is subject to those licenses. This includes any acknowledgements, license terms, and disclaimers in them.

10. When Does This Agreement End?

This EULA stays in effect until You or JanoLife ends it. JanoLife may suspend or end this EULA at any time, for any reason or no reason, with or without notice. This EULA ends at once, with no notice, if You break any part of it. When this EULA ends, You must stop using the App and delete all copies of it from your device.

11. What Are Your Indemnification Duties?

You agree to indemnify, defend, and hold harmless JanoLife and its officers, directors, employees, agents, affiliates, successors, and assigns. This covers any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of any kind, including reasonable attorneys' fees. It applies to claims arising from or relating to your use or misuse of the App or your breach of this Agreement.

12. LIMITATION OF LIABILITY

TO THE MAX EXTENT ALLOWED BY LAW, JANOLIFE AND ITS AFFILIATES ARE NOT LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES. THIS INCLUDES DAMAGES FOR LOST PROFITS, LOST DATA, LOST BUSINESS, INJURY, OR LOSS OF PRIVACY. IT APPLIES EVEN IF THE DAMAGES RELATE TO YOUR USE OF (OR FAILURE TO USE) THE APP. IT APPLIES EVEN IF JANOLIFE WAS TOLD SUCH DAMAGES COULD OCCUR.

TO THE FULLEST EXTENT ALLOWED BY LAW, JANOLIFE’S TOTAL LIABILITY TO YOU IS CAPPED AT $100 USD. THIS CAP COVERS ALL CLAIMS RELATED TO YOUR USE OF THE APP OR THIS EULA. IT APPLIES IN CONTRACT, TORT, OR OTHERWISE.

13. Export Control Laws

You confirm that: (i) You are not in a country under a U.S. embargo, or named by the U.S. as a “terrorist supporting” country; and (ii) You are not on any U.S. list of banned or restricted parties. You agree to follow all U.S. and foreign export laws. This is to ensure the App and its technical data are not exported or re-exported, directly or indirectly, in violation of those laws or for any purpose banned by them.

14. Time Limits and Class Action Waiver

YOU MUST START ANY CLAIM RELATED TO THIS AGREEMENT OR THE APP WITHIN ONE (1) YEAR AFTER IT ARISES. IF YOU DO NOT, THE CLAIM IS BARRED FOREVER.

YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST JANOLIFE ONLY IN YOUR OWN NAME. YOU MAY NOT BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. Unless You and JanoLife both agree, no arbitrator or judge may combine more than one person’s claims. No arbitrator or judge may preside over a class or representative proceeding.

15. What Happens During Events Beyond Our Control?

JanoLife is not liable to You, and has not breached this EULA, if we fail or delay for reasons beyond our control. Such reasons include acts of God, flood, fire, earthquake, explosion, government actions, war, invasion, or hostilities (declared or not). They also include terrorism, riot, civil unrest, national emergency, revolution, insurrection, or epidemic. And they include lockouts, strikes, or other labor disputes. They also include telecom outages, server outages, cyberattacks, or power outages.

16. What Laws Govern This Agreement?

These Terms are governed by California law. Conflict-of-law rules do not apply. You and JanoLife agree to the exclusive jurisdiction of the state and federal courts in San Francisco, California. These courts handle any lawsuit allowed under these Terms.

If any part of this EULA is held invalid or unenforceable, it will be read to meet its intent as best the law allows. The rest of this EULA stays in full force.
